Seller Agreement

This Seller Agreement ("Agreement") is between you ("Seller") and Tricky Treasures LLC, a Delaware limited liability company operating in Florida, doing business as SplitLocal ("Platform"). By registering as a seller on SplitLocal, you agree to the following terms in addition to the Terms of Service.
1. Seller Eligibility
You must be at least 18 years old and legally able to sell the products you list. You are responsible for obtaining any required licenses, permits, or certifications for your products and location. By listing on SplitLocal, you represent that you have the legal right to sell all listed items.
2. Stripe Connect
All seller payments are processed through Stripe Connect. By registering as a seller, you agree to Stripe's Connected Account Agreement. You must complete Stripe's onboarding process, including identity verification, before listing deals.
3. Platform Fee
SplitLocal charges a 10% platform fee on each successfully completed transaction. This fee is automatically deducted from your payout by Stripe at the time of payment capture (after buyer pickup confirmation). Third-party payment processing fees charged by Stripe are separate and in addition to the platform fee.
4. Listing Accuracy
You are solely responsible for the accuracy and completeness of your deal listings, including but not limited to:
- Product descriptions, quantities, and unit sizes
- Pricing (must be all-inclusive; no hidden fees at pickup)
- Pickup location, date, and time windows
- Product photos (must accurately represent what is being sold)
- Any allergen, ingredient, or safety information
Deliberately misleading listings will result in account suspension and potential legal action.
5. Pickup Obligations
You must be present and prepared at your designated pickup location during the entire pickup window you specified in your listing. You must have sufficient product to fulfill all committed orders. You must verify buyer identity via the SplitLocal app (QR code, order number, or manual confirmation) before releasing products.
6. Cancellation by Seller
If you cancel a deal after buyers have committed, all payment holds are automatically released. Buyers are notified via email. Repeated or late cancellations may result in:
- Reduced visibility of your listings
- Decreased seller reliability score
- Temporary or permanent account suspension
7. Food Safety Disclaimer
SplitLocal does not inspect, certify, or guarantee the safety of any food products sold on the Platform. Sellers who list food items are solely responsible for:
- Complying with all applicable food safety regulations (federal, state, and local)
- Obtaining required permits (e.g., cottage food permits, commercial food licenses)
- Proper handling, storage, and transportation of food products
- Disclosing allergens and ingredients
- Ensuring products are safe for consumption
SplitLocal disclaims all liability for foodborne illness, allergic reactions, or any other harm resulting from products sold on the Platform.
8. Prohibited Items
You may not list any items that appear on our Prohibited Items list. Violations will result in immediate listing removal and potential account suspension.
9. Taxes
You are solely responsible for reporting and paying all applicable taxes on income earned through the Platform. SplitLocal may issue a 1099 form if your earnings meet IRS reporting thresholds. We are not responsible for any tax obligations arising from your sales.
10. Termination
Either party may terminate this Agreement at any time. Upon termination, you must fulfill all outstanding committed deals. SplitLocal may immediately suspend your account for violations of this Agreement, the Terms of Service, or applicable law.
